These Terms of Use govern your use of pathwayvendors.com, operated by Pathway Vendors LLC. By using the site, you agree to them. If you do not agree, please do not use the site.

Who may use the site

You may use this site if you can form a binding contract with us and you use it in compliance with these terms and applicable law. If you use the site on behalf of a business, you represent that you are authorised to bind that business.

The site and our events are governed separately

This site provides information about Pathway Vendors and our festivals. Attending or exhibiting at a festival is governed by separate terms — ticket terms at the point of purchase, and the vendor packet, application terms and payment schedule for exhibitors. Where those terms conflict with these, those terms control for that event.

Festival details, dates, venues, pricing and participants may change. We make reasonable efforts to keep this site accurate but do not warrant that it is complete or current.

Intellectual property

The site and its content — text, graphics, logos, photographs, video, and design — are owned by Pathway Vendors LLC or our licensors and are protected by intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable licence to view the site for your personal or internal business use. You may not copy, reproduce, republish, sell, or create derivative works from the site without our written permission, except that press may use materials we have expressly made available for that purpose.

Vendor names, logos and marks shown on this site remain the property of their owners and are used with permission.

What you submit to us

If you send us a testimonial, review, photograph, video, comment, question or suggestion, you grant Pathway Vendors LLC a non-exclusive, royalty-free, worldwide, perpetual licence to use, reproduce, adapt and display it in connection with our business, including in marketing. You represent that you have the right to give us that licence and that what you send does not infringe anyone else's rights. We are not obliged to use, keep or return anything you send.

Acceptable use

You agree not to use the site to break the law; to interfere with or disrupt the site or its security; to access it by automated means without our permission; to misrepresent your identity or affiliation; to harvest personal information; or to upload anything harmful, unlawful, defamatory, or infringing.

Third-party links and services

The site links to third-party websites and services, including our festival websites, our ticketing provider and our vendor application platform. We do not control them and are not responsible for their content, products, or practices. Your dealings with them are between you and them.

Disclaimer

THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, PATHWAY VENDORS LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

Nothing on this site is a guarantee of results. Attendance figures, survey results and vendor outcomes describe past events and are not a promise of future performance.

Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, PATHWAY VENDORS LLC AND ITS OWNERS, EMPLOYEES AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

Indemnification

You agree to indemnify and hold harmless Pathway Vendors LLC and its owners, employees and agents from any claim, demand, loss, liability or expense (including reasonable legal fees) arising out of your use of the site, your violation of these terms, or your violation of any law or third-party right.

Governing law and venue

These terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. You and Pathway Vendors LLC agree that any dispute relating to the site will be brought exclusively in the state or federal courts located in Florida, and you consent to their jurisdiction.

Before you file a claim

If you have a problem, please contact us first at john@pathwayvendors.com. Most issues are resolved quickly and informally, and we would rather fix something than argue about it.

Changes

We may update these terms. Continued use of the site after we post an update means you accept the updated terms.

Severability and entire agreement

If any provision is found unenforceable, the rest remains in effect. These terms, together with our Privacy Policy, are the entire agreement between you and Pathway Vendors LLC regarding the site.
